Conditions for working as speaker or moderator

1. Subject matter of the contract

The following terms and conditions apply to the work of speakers and moderators (“Speaker“) for Vogel Communications Group GmbH & Co. KG, Max-Planck-Straße 7/9, 97082 Würzburg, Germany registered with the Commercial Register of the Local Court (Amtsgericht) of Würzburg, as well as its affiliated companies within the meaning of sections 15 et seq. of the German Stock Corporation Act (AktG) or section 271 of the German Commercial Code (HGB) (together, “VCG”). Individual textual agreements between VCG and the Speaker supplement these terms and conditions.

2. Speaker services

The speaker is responsible for the preparation of the content and personally provides their service based on the formulated draft. They bear full responsibility for the services they provide and their respective content. The speaker will share any personal data requested by VCG via the online form provided for this purpose.

3. VCG services

VCG is obligated to provide the textually agreed services to the speaker. Otherwise, VCG is free to design the context in which the speaker performs their services.

4. Force majeure

In the event that the respective services cannot be provided in the intended manner for reasons beyond the control of either party, in particular due to chance, epidemics, pandemics, and force majeure, the following shall apply: If the respective services can be provided in an alternate manner other than the intended one, and if this is possible and reasonable for both parties, the respective services shall be provided in said alternate manner. If the services cannot be provided in an alternate manner either, both contracting parties shall attempt to find an alternative date to provide the services. If such an alternative date is not feasible or not reasonable, performance duties for both parties shall no longer apply.

5. Rights of use

The speaker consents to VCG creating, using, transferring to third parties, and making available to third parties, without limitation as to time, territory or content, images, titles, and summaries of the speaker’s respective ser-vices as well as photographs taken during the event, in particular also for marketing purposes.

In terms of content, the granting of rights also includes, in particular, the re-cording of the respective services on suitable audiovisual media.

Where livestreaming is relevant:

as well as the live streaming of the speaker’s respective services (public communication to event participants, making available on the internet, in-cluding on VCG’s platforms and social media channels).

VCG may use excerpts from any of the aforementioned recordings for mar-keting purposes on VCG’s platforms as well as on external platforms and make them available to the public.

The speaker grants VCG all rights of use and exploitation in and to the con-tent contributed by the speaker (e.g. presentations and lecture content) without limitation as to territory or content and for a period limited to six (6) months after the respective event.

The speaker assures they own the unrestricted rights of use for all content provided by them and that content provided by them is free of third-party rights. In the event that VCG is held liable for the infringement of third-party rights, the speaker indemnifies VCG from these claims.

6. Other

The terms of service are subject to the law of the Federal Republic of Germany. Should one or more of the provisions above be or become invalid or void, the validity of the remaining provisions shall remain unaffected. Amendments and supplements to these terms require text form in order to be effective. This also applies to an amendment of the text form.
